Terms of Service

By creating an account, installing the MyStacy Chrome extension, or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

These Terms constitute a legally binding agreement between you (“you” or “User”) and Veridix AI LLC, a limited liability company organized under the laws of the State of Florida, United States. If you do not agree to these Terms, you must not use the Service.

MyStacy is an AI-powered personal productivity platform. The Service includes an AI assistant named “Stacy,” powered by third-party large language models, that helps you manage your professional and personal workflows. Key features include:

• Email integration — connect Gmail, Microsoft Outlook, or IMAP accounts to view, search, and manage email withinMyStacy. AI-powered email summarization and draft composition.
• Calendar sync — connect Google Calendar or other calendar providers to view and manage events.
• Contacts management — organize and access your contacts within the platform.
• Task and project management — create, organize, and track tasks and projects with AI assistance.
• Quick capture — save notes, links, text snippets, and ideas for later processing.
• Knowledge base — build a personal knowledge repository that Stacy can reference.
• Triggers — create automated workflows that respond to events and conditions.
• Messaging channels — communicate via SMS, WhatsApp, and Telegram through integrated messaging.
• Chrome extension — interact with Stacy from any webpage via side panel, text selection toolbar, and input field writing assistant.
• AI skills — specialized AI capabilities for specific tasks such as writing, research, and analysis.

Features may vary by subscription plan. We reserve the right to modify, add, or remove features at any time with reasonable notice to users for material changes.

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. In such cases, “you” refers to both you individually and the organization you represent.

To access the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration and keep it updated.
• Maintain the security and confidentiality of your account credentials. You are responsible for all activity that occurs under your account.
• Maintain only one account per person. Creating multiple accounts for the same individual is prohibited.
• Notify us immediately at support@mystacy.ai if you become aware of any unauthorized access to or use of your account.

We are not liable for any loss or damage arising from your failure to maintain the security of your account credentials.

When you connect your Google account to MyStacy, you explicitly grantmystacy.ai permission to access your Gmail, Google Calendar, and Google Contacts data on your behalf. We will only access Google data as described in our Privacy Policy.

Gmail access: We request the gmail.readonly scope to read your emails for display and AI-powered summarization within the Service, and the gmail.compose scope to create email drafts on your behalf when you explicitly request it. Drafts are never sent without your explicit confirmation — you must review and manually send any draft created by Stacy.

Revoking access: You can revoke MyStacy’s access to your Google account at any time by visiting https://myaccount.google.com/permissions and removing MyStacy from the list of authorized applications. Revoking access will stop all data syncing. Previously synced metadata (such as email subject lines, sender names, and timestamps) may remain in your MyStacy account until you delete it or delete your account.

Our use and transfer of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements.

You agree not to use the Service to:

• Engage in any activity that violates any applicable local, state, national, or international law or regulation.
• Send spam, phishing messages, or unsolicited bulk communications of any kind.
• Upload, transmit, or distribute malware, viruses, or other malicious code.
• Attempt to gain unauthorized access to other users’ accounts, data, or any systems or networks connected to the Service.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
• Scrape, crawl, or use automated means to extract data from the Service beyond normal usage patterns.
• Circumvent, disable, or otherwise interfere with security features, rate limits, or access controls of the Service.
• Use the AI features to generate content that is illegal, harmful, abusive, harassing, threatening, defamatory, or discriminatory.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Resell, sublicense, or redistribute access to the Service without our prior written consent.
• Intentionally overload, disrupt, or degrade the performance of our servers or infrastructure.

We reserve the right to investigate and take appropriate action in response to violations of this Acceptable Use Policy, including suspending or terminating your account without notice.

The Service includes an AI assistant (“Stacy”) that generates responses using third-party large language models. You acknowledge and agree that:

• AI-generated responses may contain errors, inaccuracies, outdated information, or omissions. AI outputs should not be treated as statements of fact without independent verification.
• AI outputs are not medical, legal, financial, tax, or professional advice of any kind. You should consult qualified professionals for matters requiring specialized expertise.
• You are solely responsible for reviewing and verifying all AI-generated content before acting on it or sharing it with others.
• You are solely responsible for reviewing any AI-drafted emails before sending them. Drafts created by Stacy are never sent automatically — you must explicitly confirm and send each draft.
• AI-generated content does not represent the views, opinions, or endorsements of Veridix AI LLC.
• You assume full responsibility for any decisions, actions, or consequences resulting from your reliance on AI-generated content.
• Veridix AI LLC shall not be liable for any damages, losses, or harm arising from your reliance on AI-generated content, including but not limited to financial losses, reputational harm, or missed opportunities.

By enabling SMS messaging within MyStacy, you consent to receive text messages from MyStacy at the phone number you provide. These messages are sent in connection with the features you have configured (such as task reminders, trigger notifications, and AI assistant responses).

• Message frequency: Message frequency varies based on your usage of the Service and the triggers and notifications you have configured.
• Rates: Standard message and data rates from your mobile carrier may apply.
• Opt-out: You can opt out of SMS messages at any time by replying STOP to any message you receive from MyStacy, or by disconnecting your SMS channel in your account settings.
• Help: For assistance, reply HELP to any message you receive from MyStacy, or contact us at support@mystacy.ai.
• Not required: SMS messaging is not required to use the Service. You may use all other features of MyStacy without enabling SMS.
• No third-party marketing: We will not share your phone number with third parties for marketing or promotional purposes.

The MyStacy Chrome extension (“Extension”) is subject to these Terms as well as the Chrome Web Store Developer Program Policies.

• Single purpose: The Extension’s single purpose is to let you interact with the Stacy AI assistant from any webpage — by selecting text, chatting in the side panel, or using the input field writing assistant.
• Permissions: The Extension requests the following permissions, each justified by its single purpose:
  • all_urls (host permission) — required to inject the content script that provides the text selection toolbar and input field writing assistant on any webpage you visit.
  • sidePanel — required to open the Stacy AI chat interface in Chrome’s side panel.
  • storage — required to store your authentication session token and theme preference locally in the browser.
• User-initiated data collection only: The Extension collects data only in direct response to an explicit user action (such as selecting text and clicking a toolbar button, or typing a chat message). No data is collected passively, automatically, or in the background.
• No passive monitoring: The Extension does not monitor your browsing activity, collect browsing history, track page visits, or log any data from pages where you have not explicitly interacted with it.
• No remote code execution: The Extension loads no external scripts, uses no dynamic code evaluation, and includes an explicit Content Security Policy restricting script sources to self only.
• Shadow DOM isolation: The Extension’s content script UI is rendered inside a closed Shadow DOM, fully isolated from the host page’s JavaScript context and styling.
• Voice dictation: When you use the microphone button, Chrome’s built-in Web Speech API converts your speech to text locally on your device. No audio data is sent to MyStacy servers.

MyStacy offers the following subscription plans:

• Free — limited access to core features at no cost.
• Pro — full access to all features, expanded usage limits, and priority support.
• Enterprise — custom plans for teams and organizations with dedicated support and advanced administration.

Free trial: Paid plans include a 30-day free trial. At the end of the trial period, your account will automatically downgrade to the Free plan. You will not be charged unless you explicitly subscribe to a paid plan.

Billing cycle: Paid subscriptions are billed monthly on the anniversary of your subscription start date. Payment is processed through our third-party payment processor.

Price changes: We may change subscription pricing with at least 30 days’ prior notice. Price changes will take effect at the start of your next billing cycle following the notice period.

Cancellation: You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until the end of the period you have already paid for.

If you are not satisfied with your paid subscription, you may request a full refund within 30 days of your first paid charge. To request a refund, contact us at support@mystacy.ai.

This guarantee applies to the first subscription period only. Subscription renewals and subsequent billing cycles are not eligible for refund under this guarantee. This does not affect any refund rights you may have under applicable law.

Our property: The Service, including its design, software, source code, algorithms, user interface, branding, logos, documentation, and all related intellectual property, is owned by Veridix AI LLC and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.

Your content: You retain full ownership of all content you create, upload, or submit through the Service (including emails, notes, tasks, captures, and knowledge base entries). By using the Service, you grant Veridix AI LLC a limited, non-exclusive license to host, store, process, and transmit your content solely for the purpose of providing and improving the Service. This license terminates when you delete your content or your account.

AI-generated content: Content generated by Stacy in response to your prompts is provided for your use without restriction. You may use, modify, and distribute AI-generated content as you see fit, subject to applicable laws.

Feedback: If you provide feedback, suggestions, or ideas about the Service, you grant Veridix AI LLC a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate that feedback into the Service without obligation or compensation to you.

You agree to indemnify, defend, and hold harmless Veridix AI LLC, its officers, directors, members, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

• Your use of or access to the Service.
• Your violation of these Terms.
• Your violation of any third-party rights, including intellectual property, privacy, or publicity rights.
• Any content you create, upload, or submit through the Service.
• Any actions you take, or decisions you make, based on AI-generated content provided by the Service.

This indemnification obligation will survive termination of these Terms and your use of the Service.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VERIDIX AI LLC, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or business opportunities.
• Loss of data or data corruption.
• Cost of procurement of substitute goods or services.
• Damages arising from reliance on AI-generated content.
• Unauthorized access to or alteration of your data or transmissions.
• Issues caused by third-party service providers (including Google, Anthropic, Supabase, Twilio, and Vercel).

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF VERIDIX AI LLC FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU HAVE PAID TO VERIDIX AI LLC IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS (US $100).

These limitations apply regardless of the legal theory upon which the claim is based, whether in contract, tort, negligence, strict liability, or otherwise, and even if Veridix AI LLC has been advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by applicable law.

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VERIDIX AI LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
• Any warranty that the AI assistant will produce accurate, reliable, complete, or current information.
• Any warranty that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
• Any warranty that the Service will be compatible with your hardware, software, or other systems.

YOU USE THE SERVICE AT YOUR OWN RISK. You are solely responsible for any damage to your computer systems, devices, or loss of data that results from your use of the Service.

We do not guarantee any specific level of uptime or availability. The Service may be temporarily unavailable due to scheduled maintenance, updates, or circumstances beyond our control.

We reserve the right to modify, update, or discontinue any features or functionality of the Service at any time. For material changes that significantly affect your use of the Service, we will provide at least 30 days’ prior notice via email or in-app notification.

The Service depends on third-party service providers, including but not limited to Google (Gmail API, Calendar API), Anthropic (Claude AI), Supabase (authentication and database), and Twilio (SMS messaging). We are not responsible for outages, service degradation, policy changes, or discontinuation of any third-party service.

Termination by you: You may cancel your subscription at any time from your account settings. You may delete your account at any time, which will permanently remove your account and all associated data.

Termination by us: We may suspend or terminate your account and access to the Service, in whole or in part, at our sole discretion, if:

• You violate these Terms or our Acceptable Use Policy.
• Your account poses a security risk to the Service or other users.
• We are required to do so by law or legal process.
• Your Free account has been inactive for more than 12 consecutive months.

Data export: Except in cases of immediate security threats or legal requirements, we will provide a 30-day window for you to export your data before account termination takes effect.

Data deletion: Following account deletion or termination, your data will be permanently deleted from our systems within 30 days.

Survival: The following sections survive termination of these Terms: Section 7 (AI-Generated Content Disclaimer), Section 12 (Intellectual Property), Section 13 (Indemnification), Section 14 (Limitation of Liability), Section 15 (Disclaimer of Warranties), Section 18 (Dispute Resolution & Arbitration), and Section 19 (General Provisions).

Governing law: These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict-of-law provisions.

Informal resolution first: Before initiating any formal dispute resolution proceeding, you agree to first contact us at legal@mystacy.ai and attempt to resolve the dispute informally for at least 30 days.

Binding arbitration: If the dispute is not resolved informally within 30 days, either party may initiate binding arbitration under the American Arbitration Association (AAA) Consumer Arbitration Rules. The arbitration shall be conducted in the English language. The arbitrator’s decision shall be final and binding on both parties and may be entered as a judgment in any court of competent jurisdiction.

Small claims court exception: Notwithstanding the above, either party may bring an individual action in small claims court in the State of Florida or in the county where you reside, if the claim falls within the court’s jurisdictional limits.

CLASS ACTION WAIVER: YOU AND VERIDIX AI LLC AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU ARE WAIVING YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

Arbitration costs: If your claim is for less than US $10,000, Veridix AI LLC will pay all arbitration filing fees and arbitrator costs.

Opt-out right: You may opt out of the arbitration and class action waiver provisions by sending a written notice to legal@mystacy.ai within 30 days of accepting these Terms. Your notice must include your name, email address associated with your MyStacy account, and a clear statement that you wish to opt out of the arbitration provision.

Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Veridix AI LLC regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.

Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

No waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Veridix AI LLC.

Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Veridix AI LLC may assign these Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets without your consent.

Force majeure: Neither party shall be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to natural disasters, acts of war or terrorism, epidemics, government actions, power failures, internet disruptions, or third-party service outages.

Notices: We may provide notices to you via the email address associated with your account or through in-app notifications. You are responsible for keeping your email address current. Notices are deemed received when sent to the email address on file.

Changes to these Terms: We may update these Terms from time to time. For material changes, we will provide at least 30 days’ prior notice via email or in-app notification. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service and delete your account.
